The AgentLoft Terms of Service are the legal agreement between you and AgentLoft that govern your use of our platform. They outline your rights, responsibilities, and the rules for using our services.
AgentLoft Services are sold as an automatically renewing subscription plan requiring recurring payments. You will be billed monthly or annually, as applicable, until you cancel before your next billing date. You can cancel at any time through your account settings.
Yes, you may cancel your subscription at any time before your next billing date. Upon cancellation, you will retain access to the Services through the end of your current billing period. No refunds are provided for partial billing periods.
You retain all ownership rights to the data you upload to AgentLoft, including your contact lists, communications, and other customer data. AgentLoft only uses your data to provide and improve the Services as described in our Privacy Notice.
Upon termination, AgentLoft will retain your data for a limited period to allow you to export it. After that period, your data will be securely deleted in accordance with our data retention policies and applicable laws.

AgentLoft Terms of Service

AgentLoft ("AgentLoft," "we," "us," or "our") provides a lead management and CRM platform for real estate professionals. These AgentLoft Terms of Service, together with our Privacy Notice, and any Order, collectively constitute a binding agreement (collectively, the "Terms") between AgentLoft and you or the legal entity you represent ("Customer," "you" or "your"), concerning the Services (defined below).

By using the Services, or by signing an Order (defined below) for Services, you accept and agree to be bound by the Terms. If you do not agree to the Terms, you may not use the Services.

AgentLoft may update the Terms at any time, in its sole discretion. AgentLoft will notify you of changes to the Terms by posting the changes to the AgentLoft website, by email, or through other communications. If you do not agree to such change(s), you must stop using the Services. If you continue to use the Services after AgentLoft posts updated Terms, you hereby agree to be bound by those updated Terms. You are expected to check this webpage from time to time, so you are aware of any changes, as they are binding on you.

The Services are sold as an automatically renewing subscription plan requiring recurring payments. You will be billed monthly or annually, as applicable, until you terminate before your next monthly bill date, as further described in Section 7 of these Terms.

1. Definitions

"Applicable Laws" means (i) all applicable federal and state laws, provincial and territorial laws, regulations, and governmental orders including, without limitation, the Telephone Consumer Protection Act (TCPA), the Federal Communications Commission's Telemarketing Regulations implementing the TCPA, the Telemarketing and Consumer Fraud and Abuse Prevention Act, the Federal Trade Commission's Telemarketing Sales Rule, the Controlling the Assault of Non-Solicited Pornography and Marketing Acts (CAN-SPAM), the Canadian Anti-Spam Legislation (CASL), Canadian Telecommunications Rules such as the CRTC's Unsolicited Telecommunication Rules and Decisions; (ii) industry standards or guidance; and (iii) all applicable laws, rules, and regulations relating to data privacy and consumer protection.

"Authorized User" means any individual who is an employee of Customer or an affiliate, partner, service provider or such other person or entity as may be authorized by Customer to access the Services pursuant to Customer's rights under this Agreement.

"Contact List" means the list of contacts managed within the AgentLoft Platform by Customer or an Authorized User.

"Customer Communications" means communications sent, transmitted, or conducted by Customers or their Authorized Users via the Services, including emails, SMS and MMS messages, telephone calls, communications through websites, and other similar communications.

"Customer Data" has the meaning provided in the AgentLoft Privacy Notice.

"End Customer" has the meaning provided in the AgentLoft Privacy Notice.

"End Customer Data" has the meaning provided in the AgentLoft Privacy Notice.

"AgentLoft Platform" means the platform and tools to organize, manage, and interact with your contacts.

"Order" means the ordering document between you and AgentLoft, if applicable, which specifies Services and related fees.

"Services" has the meaning provided in the AgentLoft Privacy Notice.

2. Accounts

2.1 Registration. To use certain features of the Services, you must register and create an account. By creating an account, you agree to (a) provide accurate, current and complete account information, (b) maintain the security of your account credentials, and (c) be responsible for all activities that occur in connection with your account. You will not permit anyone to use your account other than Authorized Users. You will immediately notify us if you believe your account has been accessed without authorization or otherwise compromised by emailing us at [email protected]. You expressly agree to be contacted via email, phone, text messaging and push notifications by us, and third parties, if relevant, regarding the Services.

2.2 Eligibility. To use the Services, you must be 18 years of age or older, capable of forming a binding contract with AgentLoft, and not otherwise barred from using the Services under Applicable Laws. If you do not meet the requirements set forth in this Section, you may not use the Services. If you access or use the Services on behalf of an entity, you represent and warrant that you have the authority to bind that entity to the Terms, and that by accepting the Terms, you are doing so on behalf of that entity.

3. License Rights and Restrictions

3.1 License. Subject to the Terms, AgentLoft grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Services solely for your own lawful internal business purposes, and solely in the manner permitted under the Terms.

3.2 Restrictions. You agree not to, and not to permit any Authorized User or third party to:

  • Copy, modify, or create derivative works of the Services or any part thereof;
  • Reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the Services;
  • Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Services to any third party;
  • Remove or alter any proprietary notices, labels, or marks on the Services;
  • Use the Services in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any person, or that violates any Applicable Laws;
  • Use the Services for purposes of competitive analysis, benchmarking, or developing a competing product or service;
  • Use the Services to send unsolicited communications in violation of Applicable Laws;
  • Interfere with or disrupt the integrity or performance of the Services or third-party data contained therein;
  • Attempt to gain unauthorized access to the Services or related systems or networks.

3.3 Support and Updates. AgentLoft will provide commercially reasonable technical support for the Services. AgentLoft may, in its sole discretion, develop and deploy updates to the Services from time to time. These updates may include bug fixes, feature enhancements, new modules, or entirely new versions of the Services. AgentLoft may modify, suspend, or discontinue any part of the Services at any time, with or without notice.

4. Customer Communications and Compliance

4.1 Responsibility for Customer Communications. You are solely responsible for all Customer Communications sent through the Services. You represent and warrant that all Customer Communications will comply with all Applicable Laws, including laws governing electronic communications, telemarketing, and data privacy.

4.2 Consent. You represent and warrant that you have obtained all necessary consents and permissions from End Customers before sending any Customer Communications through the Services, including opt-in consent for text messages and compliance with applicable do-not-call lists.

4.3 Prohibited Content. You agree not to use the Services to send, transmit, or store any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable, or that violates any Applicable Laws or the rights of any third party.

5. Intellectual Property

5.1 AgentLoft IP. AgentLoft and its licensors retain all right, title, and interest in and to the Services, including all intellectual property rights therein. Nothing in these Terms transfers any such rights to you. The AgentLoft name, logo, and all related product and service names, design marks, and slogans are trademarks of AgentLoft or its affiliates. You may not use any such marks without the prior written permission of AgentLoft.

5.2 Customer Data. As between the parties, you retain all right, title, and interest in and to your Customer Data. You grant AgentLoft a non-exclusive, worldwide, royalty-free license to use, copy, store, transmit, display, and modify your Customer Data solely to the extent necessary to provide the Services to you.

5.3 Feedback. If you provide AgentLoft with any suggestions, ideas, enhancement requests, recommendations, or other feedback regarding the Services ("Feedback"), you hereby assign to AgentLoft all right, title, and interest in and to such Feedback, and AgentLoft is free to use such Feedback without any obligation to you.

6. Confidentiality

6.1 Confidential Information. Each party agrees that it will not disclose or use the other party's Confidential Information except as necessary to perform its obligations or exercise its rights under these Terms. "Confidential Information" means all non-public information disclosed by a party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information.

6.2 Exclusions. Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party before disclosure; (c) is independently developed by the receiving party without use of the Confidential Information; or (d) is rightfully obtained from a third party without restriction on use or disclosure.

7. Fees, Payment, and Subscription

7.1 Fees. You agree to pay all fees specified in your Order or as listed on the AgentLoft website at the time of purchase. All fees are quoted in U.S. dollars unless otherwise specified and are non-refundable except as expressly set forth in these Terms.

7.2 Automatic Renewal. Your subscription will automatically renew at the end of each billing period (monthly or annually, as applicable) unless you cancel before the renewal date. AgentLoft reserves the right to change subscription fees upon reasonable notice. Continued use of the Services after a fee change constitutes acceptance of the new fees.

7.3 Payment. You authorize AgentLoft to charge the payment method on file for all applicable fees. If payment fails, AgentLoft may suspend or terminate your access to the Services until payment is received. You are responsible for all taxes associated with your use of the Services, excluding taxes based on AgentLoft's net income.

7.4 Cancellation. You may cancel your subscription at any time before your next billing date. Upon cancellation, you will retain access to the Services through the end of your current billing period. No refunds will be provided for partial billing periods or unused portions of the Services.

8. Term and Termination

8.1 Term. These Terms commence on the date you first access or use the Services and continue until terminated in accordance with this Section.

8.2 Termination for Convenience. Either party may terminate these Terms at any time by providing written notice to the other party. If you terminate, your termination will be effective at the end of your current billing period.

8.3 Termination for Cause. Either party may terminate these Terms immediately upon written notice if the other party materially breaches any provision of these Terms and fails to cure such breach within thirty (30) days after receiving written notice of the breach.

8.4 Effect of Termination. Upon termination: (a) your right to use the Services will immediately cease; (b) AgentLoft will make your Customer Data available for export for a reasonable period following termination; and (c) after such period, AgentLoft may delete your Customer Data in accordance with its data retention policies. Sections that by their nature should survive termination will survive, including Sections 5, 6, 9, 10, 11, and 12.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. AGENTLOFT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL AGENTLOFT OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

AGENTLOFT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO AGENTLOFT DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless AgentLoft and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your Customer Communications; (c) your violation of these Terms or any Applicable Laws; or (d) your infringement of any third party's rights.

12. General Provisions

12.1 Governing Law. These Terms will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions.

12.2 Dispute Resolution. Any dispute arising out of or relating to these Terms will be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration will take place in Delaware, and the arbitrator's decision will be final and binding.

12.3 Entire Agreement. These Terms, together with the Privacy Notice and any applicable Order, constitute the entire agreement between you and AgentLoft regarding the Services and supersede all prior or contemporaneous agreements, representations, or understandings.

12.4 Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

12.5 Waiver. The failure of AgentLoft to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

12.6 Assignment. You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of AgentLoft. AgentLoft may assign these Terms without restriction.

12.7 Notices. All notices required or permitted under these Terms must be in writing and will be deemed given when delivered personally, sent by confirmed email, or sent by certified mail, return receipt requested, to the addresses specified in your account or Order.
